1. Acceptance of Terms
By accessing or using the software and services (collectively, the “Services”) provided by Guiding-Ventures (“we,” “us,” or “our”) and our partner websites, you (the “User”) agree to comply with and be bound by these Terms of Service (“Terms”). 3. User Responsibilities

3.4. The User undertakes not to misuse the Services in any way or allow them to be used by third parties and, in particular, not to transmit any content with illegal content.
3.5. If a user account is set up, the User is responsible for the security of their password.
3.6. The automated creation of user accounts is prohibited.
3.7. The User undertakes not to take any intentional actions that could disrupt or block the Services. In this context, it is prohibited to make automated data entries that are suitable for the generation of mass data (spam).
4. Intellectual Property Rights
4.1. The User acknowledges Guiding-Ventures’s copyright, trademark, and other rights in relation to the Services provided.
4.2. The User may not remove, alter, or otherwise modify any information relating to Guiding-Ventures’s intellectual property rights.
4.3. Copying, selling, or otherwise redistributing the Services or portions thereof is prohibited.
5. Limitations of Liability
5.1. Guiding-Ventures does not guarantee that the Services provided on the Guidingventures.com platform and partner websites will meet individual User requirements.
5.2. Guiding-Ventures does not guarantee that the Services will be available in a permanent, timely, secure, and error-free manner, that the User’s requirements will be covered completely and correctly, or that possible errors and defects in the Services will be corrected.
5.3. Guiding-Ventures assumes no liability for:
a) Disruptions in internet availability
b) Disruptions or failures in the computer infrastructure used for the Services
c) Events of force majeure
d) Fault of third parties or the User
e) Incorrect use of the Services by the User or its agents
f) Permanent or temporary unavailability of the Services and related data
g) Other causes in connection with the Services
h) Direct or indirect damage of any kind resulting from the circumstances listed above
6. Service Modifications
6.1. Guiding-Ventures can remove, change, or add new Services or discontinue the Services (including their system requirements) or parts thereof at any time permanently or temporarily without giving reasons.
6.2. By continuing to use the Services, the User tacitly consents to such changes.
7. Support
7.1. Guiding-Ventures provides free support via e-mail to assist in using the Services.
7.2. The support does not include a general transfer of know-how, training courses, or adaptation of the Services based on the individual wishes of the User.
7.3. Guiding-Ventures does not guarantee the availability of support.
8. Privacy Policy
By using the Services at Guidingventures and partner websites, the User agrees to the Guiding-Ventures privacy policy.
9. Termination of Service
9.1. Guiding-Ventures reserves the right to view, reject, or delete User content and data if they give cause for complaint.
9.2. Guiding-Ventures can also reject or delete personal web addresses (URL), which the User can define themselves in parts of the Services, especially if these infringe the trademark rights of a third party.
10. Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within Germany for the resolution of any dispute arising from these Terms or your use of the Services.
11. Indemnification
You agree to indemnify, defend, and hold harmless Guiding-Ventures and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.
